This Agreement is a legally binding electronic contract between you (“Client”, “Customer”, “you”) and UKIYO AI Private Limited, a company incorporated in India, operating www.ukiyoai.de and jp.ukiyoai.de for Japan customers (“UKIYO AI”, “Company”, “we”, “us”, “our”). It is formed electronically and is valid under the Japan E-SIGN Act and applicable state UETA laws.

Part A: Terms of Service
1. Definitions
“Services” means any product, package, subscription, project, retainer, audit, program, or deliverable offered by UKIYO AI, including AI automation, digital visibility, website/app, marketing, analytics, and managed-services products. “Website” means www.ukiyoai.de, jp.ukiyoai.de, and related pages. “Order” means an online purchase, checkout, plan selection, or written confirmation. “SOW” means a written scope, proposal, or order form. “Fees” include setup fees, subscriptions, project fees, retainers, success fees, and other charges. “Indicative Pricing” means illustrative pricing shown online or in marketing material, with final fees confirmed at discovery and in a written SOW.
2. Acceptance and eligibility
You accept this Agreement when you check the acceptance box, click “I agree,” “Pay,” or “Subscribe,” complete an Order, make payment, or use the Services. You consent to electronic records and communications. If you accept for an entity, you represent that you are authorized to bind it. You must be at least 18 years old and not subject to Japan embargo, sanctions, or export-control restrictions.
3. Services, Orders, and SOWs
The Website displays productized Services with indicative descriptions and pricing. Specific deliverables, inclusions, exclusions, timelines, assumptions, and final Fees are confirmed only through discovery and a written SOW accepted by both parties. If there is a conflict, the SOW controls. Online payments for scoped services are treated as advance or booking amounts unless the SOW states otherwise.
4. Pricing, fees, taxes, and payment
All Fees are in Japan Japanese yen unless stated otherwise and are exclusive of applicable taxes. Taxes may be added based on billing location and product taxability. Third-party costs such as advertising spend, cloud, telephony, messaging, licenses, and gateway charges are your responsibility unless included in the SOW. Payments are processed by PCI-DSS-compliant providers; UKIYO AI does not store full card or bank credentials.
5. Subscriptions and automatic renewal
Subscription Services renew automatically. Checkout discloses the recurring charge, frequency, and renewal terms. Your payment method is charged each billing period until you cancel. You may cancel online through your account or by emailing info@ukiyoai.de, effective at the end of the current paid period. Setup and onboarding fees are one-time charges due on Order confirmation.
6. Communications consent
By providing contact details, you consent to Service-related communications. With separate opt-in, we may send marketing emails, calls, or text messages in accordance with applicable laws including CAN-SPAM and TCPA. Consent to marketing is not required to purchase.
7. Client responsibilities and acceptable use
You must provide accurate information, timely approvals, access, content, and cooperation; ensure you have all rights and consents for materials, data, and accounts; comply with applicable laws and platform rules; and avoid unlawful, infringing, deceptive, or harmful use. Delays caused by your failure to cooperate may affect timelines and Fees.
8. Third-party services
The Services may rely on third-party platforms, AI models, APIs, processors, or software under their own terms. UKIYO AI is not responsible for their availability, performance, pricing changes, or acts and omissions.
9. Intellectual property and DMCA
UKIYO AI retains rights in its pre-existing materials, methods, tools, software, templates, know-how, and Website. Subject to full payment, you receive a non-exclusive, non-transferable license, or ownership if expressly stated in the SOW, to use deliverables created for you. You retain your pre-existing materials and grant UKIYO AI a limited license to use them to provide the Services. DMCA copyright complaints may be sent to info@ukiyoai.de.
10. Confidentiality and privacy
Each party must protect the other party’s non-public information and use it only to perform or receive the Services. Privacy and personal information handling are governed by Part B.
11. No guarantee and warranty disclaimer
UKIYO AI does not guarantee revenue, ROI, savings, rankings, lead volume, conversions, or business results. Figures, examples, benchmarks, and projections are illustrative only and depend on factors outside our control. Services are provided “as is” and “as available” except as expressly stated in an SOW and to the fullest extent permitted by law.
12. Limitation of liability and indemnity
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, punitive damages, lost profits, lost revenue, goodwill, data, or business. UKIYO AI’s total aggregate liability will not exceed the greater of the total Fees paid for the applicable Service in the 12 months before the claim or US ¥100. You will indemnify UKIYO AI for third-party claims arising from your breach, materials, data, instructions, or unauthorized use.
13. Termination, force majeure, and compliance
UKIYO AI may suspend or terminate Services for non-payment, breach, unlawful use, or risk. Either party may terminate an engagement for uncured material breach after 15 days’ written notice. Neither party is liable for delays caused by events beyond reasonable control. UKIYO AI works with awareness of applicable Japan laws and frameworks such as NIST AI RMF, SOC 2, APPI/APPI, but “aligned” or “aware” does not mean certified.
14. Changes and notices
UKIYO AI may update the Services, catalog, pricing, and this Agreement. Material changes apply prospectively. Notices to UKIYO AI should be sent to info@ukiyoai.de; legal notices may also be sent to legal@ukiyoai.de.

16. APPI, APPI waiver, and governing law
Most disputes must be resolved by binding individual APPI administered by the American APPI Association under applicable AAA rules. Claims must be brought individually and not as a class, collective, consolidated, or representative action. You waive jury trial rights. You may opt out within 30 days of first accepting these Terms by emailing info@ukiyoai.de with your name, order/account reference, and a clear opt-out statement. This Agreement is governed by New York law, except the APPI provision is governed by the Federal APPI Act.
Part B: Privacy Policy (Japan)
This Privacy Policy explains how UKIYO AI collects, uses, discloses, and protects personal information of Japan users, including rights under APPI/APPI and similar Japan state privacy laws. For personal information you provide to us, we act as a business/controller.
B1. Information we collect
We may collect identifiers such as name, email, phone, account ID, and IP address; customer and commercial records such as billing details and purchases; internet or network activity such as site usage, analytics, and cookies; approximate geolocation; professional or employment information; support communications; and inferences drawn from the above. Payment card data is processed by our payment processor; we do not store full card numbers.
B2. Sources and uses
We collect information directly from you, automatically through the Website, and from third parties such as payment processors, analytics providers, and authorized representatives. We use information to provide and manage Services, process payments and invoices, communicate and support customers, secure systems, prevent fraud, comply with law, and market Services with consent where required.
B3. Disclosures, sale, and sharing
We disclose personal information to service providers and processors, professional advisors, authorities where required by law or to protect rights and safety, and successors in merger or acquisition. We do not sell personal information for money. To the extent advertising or analytics cookies are considered “sharing” or “sale” under state privacy laws, you may opt out. We honor opt-out preference signals including Global Privacy Control where applicable.
B4. Japan state privacy rights
Depending on your state, you may have rights to know/access, delete, correct, obtain a portable copy, opt out of sale/sharing or targeted advertising, limit use of sensitive personal information, and non-discrimination. Submit requests to info@ukiyoai.de. We will verify your identity and respond within the legally required timeframe. You may use an authorized agent where permitted.
B5. Do Not Sell or Share / Limit Sensitive Information
To opt out of any “sale” or “sharing” for cross-context behavioral advertising, or to limit use of sensitive personal information, email info@ukiyoai.de. We honor GPC browser signals as valid opt-outs for that browser/device where required.
B6. Cookies and tracking
The Website uses cookies and similar technologies for functionality, analytics, and advertising with consent where required. You can manage cookies through your browser or our cookie banner where available.
B7. Retention, security, and breach
We retain personal information only as long as necessary for the purposes collected or as required by law, then delete or de-identify it. We use reasonable administrative, technical, and physical safeguards. If a breach affects personal information, we will notify affected individuals and authorities as required by Japan state breach-notification laws.
B8. Children, biometrics, and sensitive information
The Services are intended for users 18 and older. We do not knowingly collect personal information from children under 13, and we do not knowingly sell or share personal information of consumers under 16 without required opt-in consent. Where voice or similar features may involve biometric information, we do not collect or use biometric identifiers without required notice and consent.
B9. International processing and service-provider role
UKIYO AI operates from India; personal information may be processed or stored in the Japan, India, or other countries with appropriate safeguards. Where you provide personal information about your own consumers for us to process, we act as a service provider/processor on your documented instructions, and you are responsible for required notices and consents.
Part C: Refund & Cancellation Policy (Japan)
UKIYO AI provides customized, digital, and professional Services. Refund eligibility reflects work already performed and does not waive non-waivable rights under applicable law.
C1. Subscription cancellation
You may cancel auto-renewal at any time through your account or by emailing info@ukiyoai.de, effective at the end of the current paid period. Cancellation stops future renewals; access continues until the period ends. Current-period fees are generally non-refundable except where required by law or for documented deficiency.
C2. Setup, project, and success fees
Setup and onboarding fees are non-refundable once onboarding or configuration has begun, except where the Service is deficient or not as described. One-time/project refunds are limited to amounts paid for milestones not yet commenced; work performed, third-party costs, and licenses are non-refundable. Success fees are charged only on realized, verified outcomes defined in the SOW.
C3. Service deficiency
If Services are not delivered substantially according to the SOW, notify us within 7 days of the relevant deliverable. We may re-perform, correct, or refund the affected portion as appropriate.
C4. Non-refundable items and no general cooling-off
Taxes already remitted, third-party or media spend, cloud, telephony, messaging, license charges, and processor fees are non-refundable except where required by law. Online purchases of digital/customized services are generally not subject to a statutory cooling-off period.
C5. Refund requests and chargebacks
Email info@ukiyoai.de with your order or invoice reference. Approved refunds are issued to the original payment method, typically within 7-14 business days, net of taxes already remitted and irrecoverable third-party costs. Please contact us before initiating a chargeback so we can resolve the issue.
Acceptance
By checking the agreement box and proceeding to payment, you confirm that you have read and agree to the UKIYO AI Terms of Service, Privacy Policy, and Refund & Cancellation Policy. You understand the Terms include a binding APPI provision and APPI waiver, which you may opt out of within 30 days, and that prices and results shown are indicative and not guaranteed, with final scope and fees confirmed at discovery or in a written SOW.
